Mr. Ignacio Moreno holds a degree in Economics and Business Administration from the University of Bilbao and a Master’s in Business Administration (MBA) from INSEAD. He is currently Chairman of Metrovacesa, S.A., Director of Telefónica de España and Telefónica Brasil, Director of General de Alquiler de Maquinaria, S.A., member of the Board of Roadis Transportation Holdings SLU and Director of Ontime Corporate Union, SA.

He is also Senior Advisor to PJT Partners for Spain. Until October 2016, he was CEO of Metrovacesa, S.A. He has also been General Manager of the Chairman's Area at Banco Bilbao Vizcaya Argentaria, S.A., CEO of Vista Capital Expansión, S.A., SGECR - Private Equity and CEO of N+1 Private Equity. At Corporación Bancaria de España, S.A. - Argentaria, he was Deputy General Manager of Corporate and Institutional Banking, Managing Director of Desarrollo Urbanístico Chamartín, S.A., and Chairman of Argentaria Bolsa, Sociedad de Valores. He worked at Banco de Vizcaya, Banco Santander de Negocios, and Mercapital, as Director of Corporate Banking and Private Equity.

Mr. Mariano Olmeda began his professional career at Arthur Andersen where he remained for almost six years. He has been Deputy General Manager of Banco Santander in the Santander Global Banking & Markets division.

Over the last 30 years, he has been responsible for the global CREDIT area, which mainly includes Structure Finance, Bonds and Syndicated Loans. Subsequently, he was responsible for Spain and Portugal for CIB (Corporate & Investment Banking). In the last years of his time at Banco Santander he was responsible for Global Credit Watch (Restructuring). Mr. Olmeda is currently a member of the Board of Directors of INFORMA D&B. He is also a member of the Advisory Board of ITHAKA TPG (Texas Pacific Group). Mr. Olmeda holds a degree in Economics and Business Administration from the Complutense University of Madrid and a PDG from IESE.

Mr. Jorge Pérez de Leza has been CEO of Metrovacesa since 2016. Metrovacesa is one of the leading real estate companies in Spain, with more than €2.5 billion of assets under management and one of the most valued and attractive land banks in the country. He joined Metrovacesa to reorganise the company and relaunch its development activity after the economic crisis in Spain, leading the company's IPO in 2018.

Prior to his appointment as Chief Executive Officer of the Company, Mr. Pérez de Leza was Managing Director for Europe at Grupo Lar from April 2005 to November 2016, Managing Director of European Operations at Excite @ Home from September 1998 to December 2005 and worked at Boston Consulting Group from September 1991 to September 1998. In addition, Mr. Pérez de Leza is a member of the Harvard Real Estate Alumni Association and an Associate Professor in the Master in Real Estate Development at IE University. He is also President of the Fundación Deporte y Desafío. Mr. Pérez de Leza holds a degree in Industrial Engineering from ICAI University (Madrid) and an MBA in General Management from Harvard Business School.

Mr. Alberto Quemada Salsamendi holds a degree in Economics, Business Studies and Law from the and Law from the University of Alcalá de Henares and PDG from the IESE.

After starting his professional career at Andersen Consulting, he joined Grupo Ferrovial and later Ferrovial Inmobiliaria as Economic and Financial Economic and Financial Director, Business Director and Deputy General Manager.

He has been Chief Executive Officer of Quabit and Director of Habitat Inmobiliaria. For a long time he has combined his professional career his professional career with his own business activities, mainly in the real estate sector. In 2019, he joined the Santander Group to develop the land developer land developer LANDCO as CEO, managing to date more than 14,000 assets. more than 14,000 assets.

Mr. Carlos Manzano is currently Head of the Investee area within the Restructuring, Investee, Assets, Recovery Strategy and Loan and Asset Divestment department at Banco Santander. Prior to joining Santander Bank in 2017, Mr. Manzano worked at Deutsche Bank as Head of Real Estate for Spain and Portugal and previously at BAMI, Gecina and the former Metrovacesa.

Mr. Carlos is currently a member of the Board of Directors of Compañía Española de Viviendas de Alquiler, S.A., Altamira Santander Real Estate, S.A., Landcompany 2020 S.L., Retailcompany 2021 S.L. and Diglo Servicer Company S.L., among other companies. Mr. Manzano holds a degree in Economics and Business Administration from the University of Valladolid and an MBA from ESADE (Barcelona).

Ms. Ana Bolado has more than 31 years of management experience within the Santander Group, where she has been Corporate Director of Strategy and Digital Business at Santander Universities, Director of Commercial Strategy and Business Development in Commercial Banking in Spain and member of the Management Committee of Banco Santander Spain.

Ms Bolado is currently an Independent Director of Inmobiliaria Colonial, S.A. (where she chairs the Appointments and Remuneration Committee and is a member of the Sustainability and Audit Committees) and of CACEIS and CACEIS BANK (based in France) dedicated to the Custody and Depository of Securities, where she is also a member of the Strategy, Audit, Risk and Compliance and Appointments and Remuneration Committees. She holds a degree in Pharmacy from the Complutense University of Madrid and an MBA from IE Business School (IE).

Mr. Cesáreo Rey-Baltaris is currently Director of Real Estate Investees at BBVA. Mr. Rey-Baltar has also held the position of Director of Industrial Investees and Head of e-Business projects at BBVA. Prior to joining BBVA in 1999, Mr. Rey-Baltar worked at Banco Generale (now BNP Paribas).

He is currently a member of the Board of Directors of Crea Madrid Nuevo Norte, S.A., among other companies. Mr. Rey-Baltar holds a degree in Business Administration and Insurance Actuary from the University of the Basque Country and an MBA from IE Business School (IE).

Mr. Enrique Migoya is currently Managing Director of BBVA's Equity Holdings area, where he manages the bank's equity portfolio. His professional career has been developed mainly in the M&A activity, during 7 years at the investment bank Goetzpartners, and the last 15 years in various positions at BBVA in both private equity and industrial portfolio management.

Mr. Enrique is currently a member of the Board of Directors of Crea Madrid Nuevo Norte S.A., CESCE S.A., and Corporación IBV, among other companies. Mr. Migoya holds a degree in Economics and Business Administration from the Universidad Autónoma de Madrid. He has also completed the Management Development Programme and the Corporate Management Programme at the IESE Business School.

Juan Antonio Franco holds a degree in Economics from the Complutense University of Madrid. He has spent a large part of his extensive professional career in the real estate sector, holding the position of Deputy General Manager of Inmobiliaria Realia from 2000 to 2019, belonging to the Management Committee and with executive responsibilities in the areas of Administration, Finance, HR and Tax of the Realia Group.

Previously, Mr. Franco developed his professional career in different areas and responsibilities within the FCC Group and FOCSA (1981 to 2000), where he was Director of Administration and Finance of the Real Estate of both Groups; Director of Administration, HR of the Fomento de Obras y Construcciones Group and Head of Administration and Finance within the Environment and Construction Area of the aforementioned Group. Mr. Franco has also been a member of the Board of Directors of several real estate companies such as Hermanos Revilla, Planigesa, Boane and As Cancelas. He is currently Chairman of the property company Jezzine S.L.U..

Ms. Beatriz Puente has been, until May 2023, the Chief Financial Officer of Siemens Gamesa Renewable Energy. Previously, she was a Board Member and the Chief Financial Officer of NH Hoteles, S.A. Before joining NH Hoteles, S.A., she was the Chief Financial Officer of AENA, S.A. (2013-2015), where she was responsible for preparing and coordinating the privatisation process of the company and its IPO, as well as for leading the negotiation of its debt restructuring. Previously, she was the Chief Financial Officer (2007-2013) and the Director of Investor Relations and Corporate Development (2005-2007) at Vocento, S.A., where she prepared the company's IPO.

Prior to Vocento, Ms. Puente worked at Citigroup Global Markets (Spain) as Vice President of the investment banking M&A division (2003-2004) and as an Investment Banking Associate for Financial Institution & Latam (2001-2003). She served as the Chief Financial Officer at Quintiles, S.L. from 1997 to 1998 and before that, during 1995-1997, at Ernst & Young in Spain. In addition to her work, Ms Puente has been a member of the advisory board of CUNEF since September 2015 and a lecturer of the Mergers & Acquisitions module in the Master of Finance program. Ms Puente holds an MBA from the JL Kellogg Graduate School of Management (Northwestern University) (2000) with a Fulbright scholarship and a Bachelor of Business Administration from the Colegio Universitario de Estudios Financieros (CUNEF) (1995).

Ms. Emma Fernández has developed her professional career in the technology sector in companies such as Telefónica, Alcatel and Indra. In 1991 she joined Indra Sistemas S.A. where she became General Manager and member of the Executive and Management Committees (2007-2015). She has been globally responsible for Strategy and Innovation, HR and Organisation Management, Corporate Governance, Corporate Responsibility and Brand. From 1991 to 2006, she held various management positions such as Director of Marketing and Corporate Development, including M&A (2003-2006) or Director of Strategic Development (1995-2002).).

She is currently an independent director of Axway (France) where she chairs the Remuneration Committee and is a member of the Audit Committee, an independent director of Digital Consumer Bank (Openbank, Santander Consumer Finance and ODS) where she chairs the Nominating, Corporate Governance and Responsible Banking Committee and is a member of the Risk, Remuneration and Audit Committees, an independent director of Iskay Pet SLU, a member of the Advisory Board of AERTEC Solutions and a mentor at Ashoka and Endeavour.

Ms. Fernandez has also been a member of the Board of Directors of Sopra Steria (France), the Board of Directors of Ezentis, the Board of Directors of ASTI Mobile Robotics and the Board of Directors of Gigas and the Executive Committees of the Spanish Chamber of Commerce, the Elcano Royal Institute, the EU High Level Group on Aeronautics Research and the Advisory Council for Aeronautics Research and Innovation in Europe (ACARE). Ms Fernandez holds an MBA from IE Business School and is a telecommunications engineer from the Polytechnic University of Madrid.

Mr. Vicente Moreno is a Director of Banca March, and a member of the Board of Trustees of the Accenture Foundation, the Professional Council of ESADE and the International Advisory Council of the Hispanic Society of America. He was CEO of Accenture Spain (2005-2015) and Executive Chairman (2007-2015) of the same company. During this period he was also responsible for Accenture in Portugal, Israel and Africa. Previously, he was Managing Director at Accenture Poland SP. Z.O.O. (1994-1997).

He joined Accenture in 1985. In the past, Mr. Moreno has been a Trustee of the Princess of Asturias Foundation, Vice President of the SERES Foundation and Member of the following institutions: American Chamber of Commerce, American Business Council, Business Council of the CEOE, Círculo de Empresarios, Board of Protectors of the Teatro Real, Advisory Council of the Colegio Oficial de Ingenieros Navales, Advisory Council of the Spanish Engineering Institute and Spanish Consulting Association. Mr. Moreno holds a degree in Naval Engineering from the Escuela Técnica Superior de Ingenieros Navales.

Ms. Azucena Viñuela holds a degree in Economics and Business Administration with more than thirty years of professional experience in international contexts. She began her professional career at Arthur Andersen where she worked for 11 years in the field of financial auditing and consulting. He was responsible for the Energy Sector and the Public Administration Sector of the Firm in Asturias. She was also a member of the Board of Directors and Chairman of the Audit Committee of Testa Residencial. Ms.

Viñuela is currently Internal Audit Director of Grupo Internacional Energías de Portugal, SA (EDP) and a member of the Board and of the Appointments and Remuneration Committee of the Spanish Institute of Internal Auditors. She has extensive experience in the field of financial auditing and internal auditing, implementation of internal control systems and criminal risk prevention and risk management models. Ms. Viñuela holds the title of Chartered Account Auditor from the Registro Oficial de Auditores de Cuentas (ROAC. 1993). She also completed Executive Training Programmes at IESE Business School (Madrid 1994) and INSEAD Business School (Fontaineblau, France). Ms. Viñuela was a lecturer at the Asturias Business School, the Spanish Energy Club and the ROAC.

Mr. Lucas is a partner at Hogan Lovells International in Madrid, in the commercial practice area and specialises in mergers and acquisitions and corporate governance. He is a recognised expert in infrastructure projects and transactions, with particular emphasis on PPPs and regulated sectors. Mr. Osorio is a lawyer on leave of absence. He acted for more than a decade as general counsel and general secretary of the Ibex-35 listed company Cintra (Grupo Ferrovial), one of the world's leading transport infrastructure companies, where he acquired extensive experience in M&A transactions and corporate law in general.

In addition, Mr. Osorio has served as board member and/or board secretary of multiple companies, some of them listed companies such as the UK's BAA or ESSA. Since joining Hogan Lovells, he has led multiple asset and corporate sales and acquisitions transactions, as well as corporate governance matters and shareholder disputes. Mr. Osorio is currently Secretary of the Board of Directors of Metrovacesa. During his career in the Spanish public sector, he was Chief State Lawyer at the Ministry of Social Affairs and at the Ministry of Education and Science, where he focused on administrative law, public procurement and regulated law. Finally, Mr. Osorio is a regular arbitrator in the main Spanish arbitration courts.
