Chairman – Ignacio Moreno holds a degree in Economics and Business Administration from the University of Bilbao and an MBA from INSEAD. Ignacio Moreno is Chairman of Metrovacesa, S.A., a member of the advisory board of Telefónica España, and a director of, amongst others, Telefónica Brasil, General de Alquiler de Maquinaria, S.A., Ontime, Sercotel and Smart Living Properties. Until October 2016, he was Chief Executive Officer of Metrovacesa, S.A. He has also served as General Manager of the Chairman’s Office at Banco Bilbao Vizcaya Argentaria, S.A., Chief Executive Officer of Vista Capital Expansión, S.A., SGECR – Private Equity, and Chief Executive Officer of N+1 Private Equity. At Corporación Bancaria de España, S.A. – Argentaria, he served as Deputy General Manager of Corporate and Institutional Banking, Chief Executive Officer of Desarrollo Urbanístico Chamartín, S.A., and Chairman of Argentaria Bolsa, Sociedad de Valores. He worked at Banco de Vizcaya, Banco Santander de Negocios, and Mercapital, as Director of Corporate Banking and Private Equity. Mr Moreno holds a degree in Economics and Business Studies from the University of Bilbao. He also holds a Master of Business Administration (MBA) from INSEAD.

Executive – Jorge Pérez de Leza has been Chief Executive Officer of Metrovacesa since 2016. Metrovacesa is one of Spain’s leading real estate companies, with more than €2.5 billion of assets under management and one of the most valued and attractive land banks in the country. He joined Metrovacesa to reorganize the company and relaunch its development activity after the economic crisis in Spain, leading the company’s IPO in 2018.

Prior to his appointment as Chief Executive Officer of the Company, Mr. Pérez de Leza was Managing Director for Europe at Grupo Lar from April 2005 to November 2016, Managing Director of European Operations at Excite @ Home from September 1998 to December 2005 and worked at Boston Consulting Group from September 1991 to September 1998. In addition, Mr. Pérez de Leza is a member of the Harvard Real Estate Alumni Association and an associate professor in the Master’s Degree in Real Estate Development at IE University. He is also President of the Sports and Challenge Foundation. Mr. Pérez de Leza holds a degree in Industrial Engineering from ICAI University (Madrid) and an MBA in General Management from Harvard Business School.

Proprietary – Carlos Manzano is currently Chief Executive Officer of Santander Alternative Investments. Before joining Banco Santander, where he has held various positions, Mr Manzano worked at Deutsche Bank as Head of Real Estate for Spain and Portugal and, prior to that, at the former Metrovacesa, amongst other roles. He currently sits on various boards of directors, including as Chairman of the Board of Abent 3T, SAPI de CV and Generación De Energia Villahermosa, S.A.P.I., and as a director of Atillan Agro I, SCR, SA, Deva Capital Holding Company, SL, Deva Capital Management Company, SL, Fremman Limited and Investment Holdings 1857, SL. Mr Manzano holds a degree in Economics and Business Studies from the University of Valladolid and an MBA from ESADE (Barcelona).

Alberto Quemada Salsamendi holds a degree in Business Economics and Law from the University of Alcalá de Henares and a PDG from IESE Business School.

After starting his professional career at Andersen Consulting, he joined Grupo Ferrovial and later joined Ferrovial Inmobiliaria as Chief Financial Officer, Business Director and Deputy General Manager.

He has been CEO of Quabit and Director of Habitat Inmobiliaria. For a long time he has combined his professional career with his own business activities, mainly in the real estate sector. In 2019 he joined the Santander Group to develop the land developer LANDCO as CEO, managing to date more than 14,000 assets.

Proprietary – Jaime Ybarra has worked for more than 30 years in the Santander Group and has held important strategic responsibilities as Executive Vice President in the Global Corporate & Investment Banking Unit, Global Risk Unit and the Investment Platforms Unit. He holds a degree in Business Management from the University of Loyola, has completed postgraduate studies in Business Management at the Harvard Extension School and has completed doctoral studies in Economics at the Universidad Pontificia de Comillas. At the age of 39, he was appointed member of Banesto’s Management Committee and General Manager of the Corporate Banking Division and, subsequently, of the Corporate & Investment Banking Division, successfully leading growth and transformation processes. At Banesto he promoted the areas of Investment Banking, Markets, Structured Finance, Syndicated Loans and the international business. In recent years he created Forgepoint International, a Venture Capital firm specialized in cybersecurity. He has been a board member of Santander Peru for 4 years and is currently a board member of CESCE, Lynx Financial Fraud, Hijos Ybarra S.A. and Atitlan Agro I S.C.R. S.A.

Proprietary – Ana Bolado has more than 31 years of management experience within the Santander Group where she has been Corporate Director of Strategy and Digital Business at Santander Universities, Director of Commercial Strategy and Business Development in Commercial Banking in Spain and member of the Management Committee of Banco Santander Spain.

Ms. Bolado is currently an Independent Director of Inmobiliaria Colonial, S.A. (where she chairs the Appointments and Remuneration Committee and is a member of the Sustainability and Audit Committees) and of CACEIS and CACEIS BANK (based in France) dedicated to the Custody and Depository of Securities, where she is also a member of the Strategy, Audit, Risk and Compliance and Appointments and Remuneration Committees. She holds a degree in Pharmacy from the Complutense University of Madrid and an MBA from IE Business School (IE).

Cesáreo Rey-Baltar is currently Director of Real Estate Investees at BBVA. Mr. Rey-Baltar has also held the position of Director of Industrial Investees and Head of e-Business projects at BBVA. Prior to joining BBVA in 1999, Mr. Rey-Baltar worked at Banco Generale (now BNP Paribas).

He is currently a member of the Board of Directors of Crea Madrid Nuevo Norte, S.A., among other companies. Mr. Rey-Baltar holds a degree in Business Administration and Insurance Actuary from the University of the Basque Country and an MBA from IE Business School (IE).

Proprietary – Enrique Migoya is currently Managing Director of BBVA’s Equity Holdings area, where he manages the bank’s equity portfolio. Prior to this, he spent seven years at the investment bank Goetzpartners. He is currently a member of the Board of Directors of Tubos Reunidos, S.A., Crea Madrid Nuevo Norte S.A., CESCE S.A., and Corporación IBV, Informa D&B, S.A., Corporación IBV Participaciones Empresariales, S.A., Neotec Capital Riesgo SCR, Coinversión Neotec SCR, Pecri Inversión, S.L. and Inverahorro, S.L. Mr Migoya holds a degree in Economics and Business Studies from the Autonomous University of Madrid. He has also completed the Executive Development Programme and the Corporate Management Programme at IESE.

Proprietary – Juan Antonio Franco holds a degree in Economics from the Complutense University of Madrid. He has developed a large part of his extensive professional career in the real estate sector, reaching the position of Deputy General Manager of the Realia Real Estate Company from 2000 to 2019, belonging to the Management Committee and with executive responsibilities in the areas of Administration, Finance, HR and Tax of the Realia Group. Previously, Mr. Franco developed his professional career in different areas and responsibilities within the FCC Group and FOCSA (1981 to 2000), where he was Director of Administration and Finance of the Real Estate of both Groups; Director of Administration, HR of the Fomento de Obras y Construcciones Group and Head of Administration and Finance within the Environment and Construction Area of the aforementioned Group. Mr. Franco has also been a member of the Board of Directors of several real estate companies such as Hermanos Revilla, Planigesa, Boane or As Cancelas. He currently holds the presidency of the holding company Jezzine S.L.U. and is a member of the Board of Directors of the companies SOINMOB, FINVER and DDG.

Independent – Beatriz Puente is currently a Director at Banca March and Valeo. Until May 2023, she was Chief Financial Officer of Siemens Gamesa Renewable Energy. Previously, she was a Director and Chief Financial Officer of NH Hoteles, S.A. Before joining NH Hoteles, S.A., she was Chief Financial Officer of AENA, S.A. (2013-2015) where she was responsible for preparing and coordinating the privatization process of the company and its IPO and leading the negotiation of the restructuring of its debt. Previously, Ms. Puente was CFO (2007-2013) and Director of Investor Relations and Corporate Development (2005-2007) at Vocento, S.A. and was responsible for the preparation of the company’s IPO.

Independent – Emma Fernández has developed her professional career in the technology sector in companies such as Telefónica, Alcatel and Indra. In 1991, she joined Indra Sistemas S.A., where she rose to become Managing Director and a member of the Executive and Management Committees. She has held global responsibility for Strategy and Innovation, HR and Organisation Management, Corporate Governance, Corporate Responsibility and Brand. She has also been a member of, amongst others, the Executive Committees of the Spanish Chamber of Commerce, the Elcano Royal Institute, the EU High-Level Group on Aeronautical Research, and the Advisory Council for Aeronautical Research and Innovation in Europe (ACARE). Ms Fernández holds an MBA from IE Business School and a degree in Telecommunications Engineering from the Polytechnic University of Madrid.

She is currently an independent director of Axway (France) where she chairs the Remuneration Committee and is a member of the Audit Committee, an independent director of Digital Consumer Bank (Openbank, Santander Consumer Finance and ODS) where she chairs the Nominating, Corporate Governance and Responsible Banking Committee and is a member of the Risk, Remuneration and Audit Committees, an independent director of Iskay Pet SLU, a member of the Advisory Board of AERTEC Solutions and a mentor at Ashoka and Endeavour.

Independent – Vicente Moreno is a Director of Banca March, and a member of the Board of Trustees of the Accenture Foundation, the ESADE Professional Council and the International Advisory Council of the Hispanic Society of America. He has been CEO of Accenture Spain (2005-2015) and Executive Chairman (2007-2015) of the same company. During this period he was also responsible for Accenture in Portugal, Israel and Africa. Previously, he was Managing Director at Accenture Poland SP. Z.O.O. (1994-1997).

He joined Accenture in 1985. In the past, Mr. Moreno has been a Trustee of the Princess of Asturias Foundation, Vice President of the SERES Foundation and Member of the following institutions: American Chamber of Commerce, American Business Council, Business Council of the CEOE, Círculo de Empresarios, Board of Protectors of the Teatro Real, Advisory Council of the Colegio Oficial de Ingenieros Navales, Advisory Council of the Instituto de Ingeniería de España and Spanish Consulting Association. Mr. Moreno holds a degree in Naval Engineering from the Escuela Técnica Superior de Ingenieros Navales.

Independent – Azucena Viñuela has a degree in Economics and Business Administration with more than thirty years of professional experience in international contexts. She began her professional career at Arthur Andersen where she worked for 11 years in the field of financial auditing and consulting. He was responsible for the Energy Sector and the Public Administration Sector of the Firm in Asturias. She was also a member of the Board of Directors and Chairman of the Audit Committee of Testa Residencial.

Ms. Viñuela is currently the Internal Audit Director of Grupo Internacional Energías de Portugal, SA (EDP) and a member of the Board and the Appointments and Remuneration Committee of the Institute of Internal Auditors of Spain. She has extensive experience in the field of financial auditing and internal auditing, implementation of internal control systems and criminal risk prevention and risk management models. Ms. Viñuela holds the title of Auditor of Accounts from the Official Registry of Auditors (ROAC. 1993). She also completed executive training programs at IESE Business School (Madrid 1994) and INSEAD Business School (Fontaineblau, France). Ms. Viñuela was a lecturer at the Asturias Business School, the Spanish Energy Club and the ROAC.

Lucas Osorio is a partner at Hogan Lovells International in Madrid, in the corporate practice area and specializes in mergers and acquisitions and corporate governance. He is a recognized expert in infrastructure projects and transactions, with special emphasis on PPPs and regulated sectors. Mr. Osorio is a government lawyer on leave of absence. He acted for more than a decade as general counsel and general secretary of the Ibex-35 listed company Cintra (Grupo Ferrovial), one of the world’s leading transportation infrastructure companies, where he acquired extensive experience in M&A transactions and corporate law in general.

In addition, Mr. Osorio has served as board member and/or board secretary of multiple companies, some of them listed companies such as the British BAA or ESSA. Since joining Hogan Lovells, he has led multiple asset and corporate sales and acquisitions transactions, as well as corporate governance matters and shareholder conflicts. Mr. Osorio is currently Secretary of the Board of Directors of Metrovacesa. During his career in the Spanish public sector, he was Chief State Lawyer at the Ministry of Social Affairs and at the Ministry of Education and Science, where he focused on administrative law, public procurement and regulated law. Finally, Mr. Osorio is a regular arbitrator in the main Spanish arbitration courts.
